Terms & Conditions

Last updated: [DATE]

These Terms & Conditions ("Terms") are an agreement between [LEGAL ENTITY NAME], trading as Narua Design ("Narua", "we", "us"), and you, either as an individual or on behalf of the organisation you represent ("you"). They cover your use of https://naruadesign.com, your Narua account, and the design services we provide through it (together, the "Service").

By creating an account, subscribing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

1. Your account

  • You must be at least 18 years old and able to enter into a binding contract.
  • You sign up with an email address, a phone number, and a password. You must verify your email address before you can sign in.
  • Keep your details accurate and your password private. You are responsible for activity on your account. Tell us straight away at info@naruadesign.com if you think someone else has accessed it.
  • Each person may hold one account. Accounts may not be shared, sold, or transferred.

2. The Service

Narua provides design work on a subscription basis. Plan features (for example, the number of active requests, projects, brands, or users) are described on our Pricing page and form part of these Terms.

  • Starter (free): available to signed-in users with the limits shown on the Pricing page.
  • Paid plans: billed monthly or yearly as selected at checkout.
  • Requests: you submit work requests through the Trello board we set up for you and track progress in your Narua dashboard.
  • Timeframes: delivery times are good-faith estimates, not guarantees. Complex requests may be split into stages.

3. Billing and renewal

  • Payments are processed by Stripe. We do not see or store your full card details.
  • Subscriptions renew automatically at the end of each billing period until cancelled.
  • Prices may change. We will give you at least 30 days' notice by email before a new price applies to your renewal.
  • Prices exclude taxes unless stated. Any applicable taxes are added at checkout.

4. Cancellation

You can cancel at any time from your account's billing page. Cancelling stops future renewals. You keep full access until the end of the period you have already paid for, after which your plan ends.

5. Failed payments

If a renewal payment fails, we will notify you by email and text message, and Stripe will retry the payment. Your access continues while retries are in progress. If the payment still cannot be collected after the final retry, the subscription will end and paid features will stop.

6. Refunds

Because our work is custom and delivered digitally, payments are generally non-refundable.

  • We consider refund requests individually and may grant one at our discretion.
  • Any refund is limited to the unused part of the current billing period. Work already requested, in progress, or delivered is not refundable.
  • Payment processing fees charged by Stripe are not refunded.
  • If a refund is issued, the licence to work produced during the refunded period ends unless we agree otherwise in writing.
  • We may decline refunds in cases of abuse, repeated requests, or chargeback threats.

7. Who owns the work

  • Your deliverables: once the billing period in which a deliverable was produced has been paid for, you own the final designs and source files we created for you, including the copyright. To the extent any rights would otherwise stay with us, we assign them to you.
  • Your materials: you confirm that anything you give us to use (logos, images, copy, references) is yours or properly licensed, and does not infringe anyone else's rights.
  • Third-party assets: if a deliverable uses a font, stock image, or other asset that needs its own commercial licence, we will tell you in writing which licences you need. Buying those licences is your responsibility. Any licences we hold ourselves are not transferable to you unless we say so in writing.

8. Showing our work

We may show work we create for you in our portfolio and on social media. If you would prefer we did not, tell us in writing or ask us to sign a non-disclosure agreement, and we will keep your work private.

9. Feedback

If you send us suggestions about the Service, we may use them freely without owing you anything. This does not affect your ownership of your deliverables under section 7.

10. Acceptable use

You agree not to:

  • break the law or anyone else's rights while using the Service;
  • try to access accounts, data, or systems you are not authorised to use, or bypass security features;
  • scrape, copy, or bulk-download content from the website;
  • overload, disrupt, or reverse engineer the Service;
  • use the Service to build a competing product;
  • upload malicious code or harmful content;
  • mislead us or impersonate anyone.

11. Our website and brand

The website, its code, design, text, graphics, and the Narua name and logo belong to us or our licensors and are protected by intellectual property laws. You may use the website only for its intended purpose and may not copy or reuse it commercially without our written permission.

12. Third-party services

The Service relies on third parties, including Stripe (payments) and Trello (task management). Your use of those services is also governed by their own terms. We are not responsible for their availability or actions.

13. Availability and changes

We aim to keep the Service available but cannot promise it will always be uninterrupted or error-free. We may update, change, or discontinue parts of the Service. If a change materially reduces what a paid plan includes, we will tell you in advance.

14. Suspension and termination

We may suspend or close your account if you breach these Terms, fail to pay, or use the Service in a way that could harm us or others. Where reasonable, we will warn you first. You can close your account at any time from your account settings. Sections that by their nature should continue (for example, ownership, payment obligations, and liability) survive termination.

15. Disclaimer

Apart from the commitments expressly made in these Terms, the Service is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of liability

To the extent the law allows:

  • we are not liable for indirect or consequential losses, such as loss of profit, revenue, data, or goodwill;
  • our total liability to you for any claim relating to the Service is limited to the amount you paid us in the three months before the claim arose.

Nothing in these Terms limits liability that cannot legally be limited.

17. Indemnity

You agree to cover our reasonable losses and costs (including legal fees) arising from a third-party claim caused by your breach of these Terms, your materials, or your misuse of the Service.

18. Electronic communications

You agree that we may send agreements, notices, and other communications to you electronically, by email or through your account, and that these satisfy any requirement for written communication.

19. Governing law and disputes

These Terms are governed by the laws of [COUNTRY / STATE]. Any dispute will be handled by the courts of [JURISDICTION], unless the law of your country of residence gives you the right to bring a claim locally.

20. Changes to these Terms

We may update these Terms from time to time. We will post the new version here with an updated date and, for significant changes, email you before they take effect. Continuing to use the Service after that means you accept the updated Terms.

21. General

These Terms, together with our Privacy Policy and any plan details on the Pricing page, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest still applies. Not enforcing a right straight away does not mean we have given it up. Nothing here creates a partnership, employment, or agency relationship.
